HAGL Agrico announces the General Meeting of Shareholders's Resolution

HAGL Agrico announces the Resolution of collecting shareholders’ opinion dated September 17, 2018 as follows:

  1. Approving the resignation of Mr. Doan Nguyen Thu and Mr. Nguyen Ngoc Anh as member of BOD.
  2. Approving the resignation of Ms. Nguyen Thi Hai Yen as member of Supervisory Board.
  3. Approving the additional election of Mr. Nguyen Hung Minh and Mr. Tran Bao Son as member of BOD.
  4. Approving the additional election of Mr. Dang Cong Truc as member of Supervisory Board.
  5. Approving the plan for the private placement of shares:

-       Stock name: Hoang Anh Gia Lai Agricultural Joint Stock Company

-       Stock type: common share

-       Par value: 10,000 dongs/share

-       Offering volume: 87,446,105 shares

-       Offering price: 16,000 dongs/share

-       Total value (based on par value): VND874,461,050,000

-       Total value (based on the issue price): VND1,399,137,680,000

-       Offering method: private placement

-       These shares will be restricted in 01 year from the finish date of the issuance.

-     Issue purpose: to restructure its finance by capital increase from the owner’s equity, to decrease its loans, to ensure the solvency of loans and to reduce its financial risk.
